INFLUENCER CONSENT, CONTENT LICENSE & RELEASE AGREEMENT

Influencer Release Consent

Overview

Grant of Rights (Perpetual, Worldwide, Irrevocable)

For good and valuable consideration, including participation in the AI Wellness Influencer Experience, I hereby grant AI Wellness Center of Excellence Inc. (“Company”), its affiliates, partners, successors, licensees, and assigns the perpetual, worldwide, royalty-free, and irrevocable right to:

  • Photograph, film, and record my image, likeness, voice, appearance, performance, statements, and actions

  • Capture any treatments, experiences, walkthroughs, consultations, or services I receive

  • Use any content I create during or about my participation (“Influencer Content”)

  • Edit, modify, adapt, enhance, and combine the recordings with effects, music, or graphics

  • Use all footage, photos, audio, or digital assets across any media now known or later invented

This includes, without limitation:

  • Social media (TikTok, Instagram, YouTube, Facebook, X, LinkedIn)

  • Digital advertising and paid campaigns

  • The AI Wellness Connect App

  • Smart vending machine screens

  • The feature film Infinite Wellness: The New Human Era

  • Masterclasses, events, speaking engagements, and promotional videos

  • Website content, email campaigns, and in-clinic displays

This license is unlimited and unrestricted.

Recurring Visits & Ongoing Content Creation

This agreement applies to:

  • Today’s filming

  • Any future visits to AI Wellness Center of Excellence

  • Any future treatments, services, or experiences I voluntarily participate in

  • Any content captured by Company during any of my visits

No additional consent is required for future sessions unless specifically requested by Company.

Ownership of Footage & Materials

All footage, photography, audio, recordings, and related materials are the exclusive property of AI Wellness Center of Excellence Inc.

I waive any rights to inspect, approve, restrict, or remove the content.

License to Repost and Use Influencer-Generated Content

I grant Company the unrestricted right to:

  • Repost or reshare my content

  • Use my posts, stories, reels, captions, and testimonials

  • Use my name, handle, brand likeness, and tags
  • Use my content for advertising and commercial use

No Compensation (In-Kind Exchange)

I acknowledge I am receiving complimentary:

  • Treatments

  • Products

  • Services

  • Gifts

  • VIP experiences

in exchange for my participation.

No additional compensation or future payments are owed.

Consent for Filming in Wellness/Medical Areas

I consent to filming occurring inside or near:

  • Wellness and longevity treatment rooms

  • Detox, recovery, aesthetic, or performance modalities

  • IV therapy, red light therapy, diagnostic devices, or wellness equipment

I understand this may include before/after moments or glimpses of treatments.

Release of Liability

I release and discharge AI Wellness Center of Excellence Inc., its employees, contractors, media teams, partners, and affiliates from all claims related to:

  • Privacy

  • Right of publicity

  • Misuse of image

  • Emotional distress

  • Defamation

  • Any use of my content or likeness

This includes all known or unknown claims.

No Revocation

This consent is permanent and cannot be revoked.

Assignment

Company may assign or license this agreement to any partner, platform, distributor, or affiliate.

Governing Law

This agreement is governed by the laws of the State of California.
