Grant of Rights (Perpetual, Worldwide)
For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, I irrevocably grant to AI Wellness Health Management Inc. (“Production Company”), its affiliates, successors, licensees, assigns, and clients the perpetual, worldwide, royalty-free, irrevocable right to:
- Photograph, film, videotape, livestream, or otherwise record my image, appearance, voice, likeness, biographical information, statements, interviews, and performance (“Performance”).
- Reproduce, edit, modify, adapt, dub, alter, or otherwise change the Performance as they see fit.
- Use the Performance in any and all media, now known or later devised, including but not limited to: film, digital, streaming, broadcast, social media, online platforms, podcasts, advertising, marketing, promotional materials, commercial tie-ins, educational programs, and derivative works.
- Combine my Performance with that of others, with music, effects, logos, graphics, artificial intelligence tools, or any other elements.
This grant of rights is unlimited, perpetual, worldwide, royalty-free, and without restriction.
Ownership
I acknowledge and agree that all recordings, photographs, and materials capturing my Performance are sole and exclusive property of AI Wellness Health Management Inc. and constitute “work made for hire.”
I waive any right to inspect, approve, or receive copies of the Project or the materials in which my Performance appears.
No Compensation
I understand and agree that I am participating voluntarily and will not receive compensation now or in the future for:
- My appearance
- My recordings
- The use of my likeness, name, voice, or biographical information
- Any commercial success generated from the Project
I waive all claims to residuals, royalties, or payments.
No Revocation
This Release is irrevocable, and I waive any right to withdraw consent or request removal of my image or Performance once recorded.
No Obligation to Use
Production Company has no obligation to use my Performance in the Project or in any other production.
Health, Wellness & Medical Environment Consent
I acknowledge that filming may occur inside or near:
- Medical, aesthetic, wellness, or diagnostic environments
- Treatment rooms, equipment, or clinical procedures
I confirm that:
- I am voluntarily participating
- I waive privacy claims for anything I voluntarily say or do on camera
- I release Production Company from claims relating to incidental capture of medical/wellness environments
- I agree not to hold AI Wellness responsible for any incidental appearance during wellness treatments, consultations, or procedures I voluntarily participate in
Release of Liability
I hereby release, discharge, and hold harmless:
- AI Wellness Health Management Inc.
- Its clients, affiliates, partners, licensees, successors, assigns
- Officers, employees, contractors, producers, directors, photographers
- Any broadcasters, streaming platforms, or distributors
from any and all claims, demands, actions, causes of action, liabilities, damages, or expenses related to:
- Defamation
- Invasion of privacy
- Right of publicity
- Emotional distress
- Misappropriation
- Any use, exploitation, distribution, broadcast, or exhibition of the Performance
This includes claims known or unknown, anticipated or unanticipated.
Assignment
Production Company may assign, license, or transfer this agreement and the rights granted herein to any person, platform, distributor, production partner, or media outlet without restriction.
Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.
Addendum
The Company acknowledges that:
ADDENDUM A — Accuracy of Representation
Notwithstanding anything in the Agreement to the contrary, Production Company agrees that the final use of my recorded Performance shall not materially misrepresent my statements, views, or professional positions.
ADDENDUM B — Use of Artificial Intelligence and Editing Tools
Production Company may use artificial intelligence tools and editing techniques for creative or technical purposes; however, no AI-generated content or edited material shall attribute to me any statements, claims, or viewpoints that I did not originally express during my recorded Performance.
ADDENDUM C — Interview Environment Clarification
It is acknowledged that my participation takes place in a private interview setting with no patients, medical procedures, or protected health information present. Nothing in the Agreement shall be construed to waive obligations under applicable healthcare privacy laws.
Entire Agreement
This document constitutes the entire agreement between the parties and supersedes all prior representations. It may not be amended except in writing signed by both parties.
