Premium Brand Partnership Agreement

 

1. Partnership Overview

The Partner joins the Relax & Recharge Legacy Initiative as a premium brand partner for a total investment of $250,000, per the program scope, tiers, and deliverables outlined in the official Brand Partnership Prospectus.

Program Highlights:

• Limited to 10 premium brands in the Founding 100 program
• National + International rollout: 100 locations in 100 days, 500+ locations by year-end
• Multi-channel activation: AI Wellness App, Smart Healthy Vending, digital avatars, podcasts, interactive booklets, events, and showroom activation
• Ownership option: Partner may own a physical location with branding and showroom integration
• Early adopter deadline: April 15 for full integration into avatars and knowledge base

2. Partnership Deliverables

A. Digital & Education Integration

• Digital avatar integration across 500 podcasts, AI Wellness App, interactive booklets, and national marketing campaigns
• Partner knowledge and content must be submitted by April 15 (video, images, PDFs, text, brand guidelines)
• All media must be approved prior to distribution
• QR codes linking to avatars included across platforms

B. Co-Branded Content & Marketing

• Distribution across app, vending, booklets, and campaigns
• Content licensed to AI Wellness; partner granted usage rights
• 5 business day approval turnaround

C. On-Site Activation

• Event signage, demos, branded experiences
• Showroom feature opportunities
• Details finalized prior to events

D. National PR Exposure

• Inclusion in press and media campaigns

E. Data & Analytics

• Access to engagement metrics, scans, downloads
• Monthly or quarterly reporting

F. KPI / ROI Metrics

• Event impressions
• Podcast engagement
• Membership conversions

4. Partnership Term & Termination

• Term through December 31, 2026
• 30 days notice required
• Non-payment may delay services
• Force majeure applies
• Payments non-refundable

5. Exclusivity & Ownership Rights

• Maximum 10 partners
• Exclusivity subject to approval
• Ownership of location available
• Branding rights licensed, not transferred

6. Intellectual Property & Media Approval

• Assets due by April 15
• Approval required before publishing
• Restricted distribution
